Five Prime Advisors is a valuation and capital structure consultant focused on the medical technology and life sciences industries. Since 2006, our AICPA-conforming work product has been thoroughly vetted for a variety of transactional, regulatory, tax, accounting, and fiduciary purposes where the need for defensibility is paramount.

Our proprietary valuation and pricing models have evolved over the years in response to changes in the regulatory and tax environment. We bring a sophisticated set of tools to the pricing of innovation and technology where markets are nascent and “highest and best-use” is not readily identifiable as the datum with respect to the valuation of intellectual property. Our valuation of complicated capital structures containing multiple classes of securities with differing claims and rights - the “waterfall” - is comprehensive, analytically rigorous, and thoroughly documented and defensible. We work closely with firm management to arrive at a conclusion or calculation of value consistent with the fair value standards of ASC-820 and AICPA Standards for Valuation Services while being sensitive to the preferences of those stakeholders impacted by our determination of value. We have two decades of experience providing valuation and capitalization table consulting services to venture-financed firms and their investors, lawyers, and accountants.

While we have undertaken assignments on behalf of Tier I industry leaders including Siemens Medical, GE Healthcare, Celestica, Genentech, Carl Zeiss Meditec, Amgen, Bayer Medical, and Sparton, our bread and butter is providing valuation services to the portfolio companies of top venture investors including those of Kleiner Perkins, Kholsa Ventures, Polaris Partners, Atlas Venture, Norwest Venture, Radius Ventures, and DFJ Gotham.
